Conditions of the Offer

1. SCOPE OF THE CONTRACT

1.1. Intended scope of the contract
These General Terms and Conditions are applicable to all commercial transactions made through the IESE INSIGHT virtual shop, located at the website www.ieseinsight.com/review, by students, teachers, associates, the general public, professionals, companies, consumers, users or any other end user (hereafter the USER).

1.2. Information on the service provider
The domain name www.ieseinsight.com/review and the brand name IESE INSIGHT are owned by the company ESTUDIOS Y EDICIONES IESE, Ltd. (hereafter IESE PUBLISHING), a legally constituted Spanish company (Company tax number B-58364753), with offices in Barcelona (08034), at Av. Pearson, 21, and registered in the Companies Register of Barcelona, Volume 23596, Folio 205, Leaf B-55525.

1.3. Acceptance of the present General Terms and Conditions
Use by the USER of the services of the shop implies, in all cases, compliance with the General Terms and Conditions in the version published by IESE PUBLISHING at the time of sending the order, which is available to customers on the website. It is recommended that the USER read the General Terms and Conditions carefully before placing an order. When the USER, through the shopping cart facility of the website, chooses the option "I have read and understand the General Terms and Conditions," the USER is considered to have understood them and to accept them fully. If the USER does not accept these General Terms and Conditions, the operation will terminate and no obligation of any kind will be assumed on the part of the USER. After placing an order on the website, the USER will receive an e-mail confirming that the order has been sent correctly. A copy of these General Terms and Conditions and of the Discontinuance and Cancellation Form will be sent together with the order confirmation.

1.4. Content and information provided
IESE PUBLISHING reserves the right to change, at any time, the commercial offer presented on its website (changes to products, prices, promotions and other conditions of sale and service). IESE PUBLISHING undertakes, to the best of its abilities, to offer accurate information free of typographical error on its website. In the case of an error of this kind appearing on the website without the approval of IESE PUBLISHING, it will be corrected immediately.

2. HOW TO SUBSCRIBE TO THE CURRENT PROMOTION

2.1. To buy online
a) Add the item to your shopping cart.

b) Sign in or register as a new user

c) Choose a one year or three year subscription.

d) Complete the billing information and choose your payment method (Visa, MasterCard or through PayPal). If you would like to make a payment via a money transfer, please contact customers@ieseinsight.com.

e) Once the payment has been completed, we will email you a receipt of the transaction, and you can start enjoying full access to www.ieseinsight.com/review.

2.2. Payment methods
You may pay for your purchase by Visa or MasterCard. The payment is via the BBVA secure virtual payment system.

If you are unable to pay using this method, please contact IESE INSIGHT (customers@ieseinsight.com) and request activation of the bank transfer payment option in your user profile ("Transfer - Pre-Payment"). This option will enable you to pay for your order by bank transfer. After proof of payment has been received, IESE PUBLISHING will process your order as requested.

2.3. Cancellation of the subscription
USERS may unilaterally cancel their subscription at any time, informing IESE INSIGHT of this decision in a clear and unambiguous manner. To do this, please send an e-mail to customers@ieseinsight.com stating that you wish to cancel. Cancellation will be effective after e-mail confirmation of the cancellation. If you do not receive this response within 48 hours, please call IESE INSIGHT on +34 93 253 4200.

2.4. Renewal of the subscription
IESE INSIGHT will contact you via e-mail six weeks before the expiry of your subscription to remind you that it is ending, and facilitate renewal (formalizing the order again through www.ieseinsight.com/review). If you do not renew at that time, another e-mail will be sent reminding you of the need to renew your subscription three weeks before expiry.

3. RESTRICTIONS OF USE

3.1. Personal and non-transferable use
The use of the codes to access www.ieseinsight.com/review, and of the files downloaded from it, is personal and cannot be transferred to third parties. USERS may access and print this content strictly for personal, non-commercial use. On accessing www.ieseinsight.com/review, USERS undertake not to sell, publish, distribute nor broadcast, nor to provide access to www.ieseinsight.com/review or the content downloaded from the website.

USERS undertake not to use www.ieseinsight.com/review and its content for any illegal purpose. IESE PUBLISHING reserves the right to cancel the USER's access to www.ieseinsight.com/review, cancel the USER's subscription and/or take the legal actions it deems appropriate if it considers that fraudulent use has taken place.

4. PROTECTION OF PERSONAL INFORMATION AND PRIVACY POLICY

4.1. Protection of personal information and applicable regulations
IESE, the University of Navarra (hereafter IESE), and IESE PUBLISHING, as the owners of this website, in accordance with the State Law on the Protection of Personal Data (L.O. 15/1999 of December 13) and the Law on the Information Society and e-Commerce (LSSI-CE 34/2002 of June 11), have implemented policies, measures and procedures to guarantee and protect the privacy of USERS' personal information.

4.2. Identity and address of the owner of the data
The data are the property of IESE and IESE PUBLISHING, both with offices in Barcelona (08034), at Av. Pearson, 21.

4.3. Services provided through the website
Through the different areas forming part of this website, USERS may obtain information, consult and contract services offered on the website. Browsing the website is free of charge and does not require previous registration by USERS. The only personal information to which the owner of the data will have access is that provided voluntarily in order to make possible the access to, use or contracting of the services provided through the website.

4.4. Treatment of data and confidentiality
The information provided will be included in a database owned by IESE and IESE PUBLISHING, and will be treated in total confidentiality. The body responsible for the information, the bodies intervening at any stage of its treatment and/or the bodies to which it has been transmitted, as authorized by the USER, are obliged to observe professional confidentiality and to adopt the levels of protection, within the technical and organizational measures available to them, in order to guarantee the security of personal information, avoiding, as far as possible, any unauthorized access, illegal changes, removal and/or theft of the data.

However, USERS are informed and advised that the technical measures are neither infallible nor invulnerable, for which reason the owner of the database cannot be held responsible for any such circumstances or their consequences.

The interested party, by providing the personal data and e-mail address needed for the formalization, administration, execution and development of all teaching and/or institutional activity of IESE and IESE PUBLISHING, expressly AUTHORIZES both bodies to use these data for communications purposes, expressly including communications via e-mail. USERS' personal information, together with that emerging as a consequence of access to, use or contracting of the service, may only be subjected to automatic treatment and granted in the form and for the purposes established and expressly authorized by USERS.

4.5. Segmentation and categorization of data
The recording of personal data provided when subscribing to or contracting courses, seminars, publications, products or other services, and any other data provided during the relationship, will also imply USERS' voluntary acceptance of the treatment of these personal data by IESE and IESE PUBLISHING, and their segmentation or categorization for the purposes of general administration and management, information, the commercialization of our services, the creation of profiles, analysis of proposals requested by USERS/STUDENTS, the statistical study of the services and content used, tastes and preferences, surveys or forms.

4.6. Communication of data
The provision of personal data by USERS also implies the voluntary and express acceptance of the granting and transmission of these data, for the same purposes mentioned above, to other bodies associated with IESE, auxiliary to or in collaboration with it, and authorizes the owner of the database to receive from these bodies associated with IESE information from their files, including interconnected information, for the purposes mentioned above.

4.7. Rights of interested parties, and their exercise
The Data Protection Law cited previously protects USERS' rights to access, rectify, cancel or oppose, as applicable, their personal data and their use, categorization and/or segmentation. Interested parties may exercise the right to access, rectify, cancel or oppose their data by clicking on "Modify data," by e-mailing customers@ieseinsight.com or by writing to IESE PUBLISHING, Av. Pearson, 21, Barcelona 08034.

4.8. Cookies
USERS are advised that we use cookies only to profile USERS and improve our relationship with them, and to adapt to their technological media. USERS may configure their browsers to be alerted to the setting or rejection of cookies on their hard disk, and should consult the instructions and manuals of their browsers for further information on this subject.

4.9. Hyperlinks to other websites
This website uses hyperlinks enabling USERS to visit websites belonging to third parties. In no case can IESE and IESE PUBLISHING be held responsible for the content, information and/or services offered or for the security measures established in websites which USERS may visit through hyperlinks from the website of IESE and IESE PUBLISHING. Neither body accepts responsibility for the security measures adopted by any other website linked to ours, and interested parties visit them entirely at their own risk.

4.10. Changes to data protection and privacy policies
Finally, USERS are advised that the owner of the database reserves the right to change the present privacy policy in order to adapt it to changes in the law or legal rulings, or to changes or practices in the industry. USERS will be informed sufficiently in advance of any changes to be introduced, and of the date on which they will become effective.

5. INDUSTRIAL AND INTELLECTUAL PROPERTY

USERS recognize and accept that all industrial and intellectual property rights to the content and/or any other elements inserted in the website (including but not limited to all elements comprising the look and feel of the website, its brands, logos, commercial names, texts, criticisms and commentaries, images, graphs, designs, sounds, databases, software, flowcharts, presentations, information architecture and source code of the website) belong to IESE PUBLISHING and/or third parties granting it their rights. For these purposes, WEBSITE will be understood to include all creations on any medium and/or platform, whether tangible or intangible, known or unknown, protected by current legislation relating to intellectual or industrial property.

Viewing, printing, downloading or temporary storage, in part or whole, of the content and/or elements inserted in the website are authorized for personal, private and non-lucrative use by the USER, as long as, in all cases, the origin and/or author is indicated and, if applicable, the copyright symbol and/or industrial property notices of the owners appears.

In no case does access to the website imply any kind of permission, renouncing, transmission, licence or granting, total or partial, of such rights by the owners, unless expressly established otherwise. The present General Terms and Conditions of use of the website do not confer upon the USERS any other right to use, alter, exploit, reproduce, distribute or publish the website and/or its content, other than as expressly stated here. Any other use or exploitation of any rights will be subject to previous express authorization specifically granted for this purpose by IESE PUBLISHING or the third party owner of the rights concerned.

The use of such elements - their total or partial reproduction, publication and/or distribution, for commercial or lucrative purposes; their change, alteration, dismantling and/or any other act of exploitation of the website, its pages and/or of the content contained in them - is strictly prohibited. Any such activity may lead to the taking of such legal or other action by IESE PUBLISHING as it may deem appropriate in the exercise of its rights. For any other use, other than those expressly permitted, previous consent must be obtained in writing from the owner of the rights concerned, using our form, if applicable.

6. GUARANTEES

The service provided by IESE PUBLISHING is guaranteed for two (2) years for private USERS, in accordance with the Royal Decree of Law 1/2007 of November 16, approving the redacted text of the General Law for the Defence of Consumers and Users, and other complementary laws.

7. SERVICES OFFERED BY ASSOCIATES OF IESE PUBLISHING

Certain services offered to USERS may contain their own General Terms and Conditions, as is the case with the services offered by ASSOCIATES of IESE PUBLISHING through its WEBSITE. Before using such services, USERS should read carefully the corresponding General Terms and Conditions, and if their personal data are requested, should seek information as to their treatment. IESE PUBLISHING accepts no responsibility that may arise from the use of these services offered by ASSOCIATES via its WEBSITE.

8. APPLICABLE LAW AND JURISDICTION

For the resolution of any legal question arising from this contract or from a legal action, the parties submit to the Junta Arbitral de Consumo de Cataluña (Consumer Arbitration Board of Catalonia), which is designated as the arbiter and arbitration administrator. For cases in which arbitration is not used by mutual agreement or is declared null, or for the execution of the arbitration ruling, both parties submit to the courts and tribunals of the city of Barcelona, expressly renouncing their own courts, if any.

9. VALIDITY AND EFFECTIVENESS OF THE ELECTRONICALLY FORMALIZED CONTRACT

The present contract, formalized electronically, will be fully valid and effective, producing all the effects of the legal ruling in accordance with Title IV of Law 34/2002 of July 11 on Information Society Services and e-Commerce. By acknowledgement of receipt issued by IESE PUBLISHING and which may be effected electronically, the present contract will be confirmed and signed by the USER and IESE PUBLISHING, this document being admissible in court of law as documentary proof, in accordance with article 24.2 of the abovementioned Law on Information Society Services and e-Commerce.

These conditions will remain in force until December 31, 2009, when the present promotion expires.

The undersigned, in accordance with the rights recognized both by law and by clause 2.6 of the General Terms and Conditions of the contract with ESTUDIOS Y EDICIONES IESE, Ltd., requests the discontinuance and/or cancellation of the ORDER referred to above.

In accordance with the ruling of the same section of the General Terms and Conditions of the contract with ESTUDIOS Y EDICIONES IESE, Ltd., I send the PRODUCT in my possession to the address given in the letterhead of this form, and accept that I will be reimbursed the amount originally paid, without interest, to the account I indicate, in not more than five working days from receipt of this document by ESTUDIOS Y EDICIONES IESE, Ltd.
